THIRD-PARTY SALE AND DISTRIBUTION POLICIES
The sale of Golight products through any Third-Party Online Channel, as defined herein, or the sale or transfer of Products to another entity with the intent of listing on a Third-Party Online Channel is strictly prohibited absent written authorization from Golight. Specifically, only authorized resellers possessing written approval from Golight issued on or after December 4, 2025, are authorized to advertise or sell Golight products through a Third-Party Online Channel.
“Third-Party Online Channel” means any third-party marketplace, portal, or service accessible over the internet for listing products, including without limitation, Amazon®, eBay®, and Walmart®.
Authorized distributors of Golight shall not distribute, market, or sell the Products through any Third-Party Online Channel or divert existing or future inventory to any entity intending to do so.
Additionally, Distributor shall exercise commercially reasonable diligence to ensure that Products are sold only to a bona fide purchaser for value. Distributor shall maintain procedures reasonably designed to prevent diversion of Products to unauthorized resellers or Third-Party Online Channel, including but not limited to: (a) verify all new purchasers by verifying the business entity associated or affiliated with said customer, (b) obtaining resale certificates where possible, (c) maintaining an accurate, complete and current list of existing customers and their contact information, (d) maintain accurate and current shipping and lot records, (e) refusing suspicious orders or requests from suspicious entities, and (f) investigating unusual buying history and/or patterns.
Distributor shall not sell Products where Distributor knows or reasonably should know that the Products are intended for redistribution through any intermediary, broker, freight forwarder, exporter, buying group, fulfillment company, or other entity acting for or on the behalf of an unauthorized marketplace seller. Distributor shall not distribute, market, or sell the Products to any entity that Distributor knows or has any reason to believe (i) is a reseller, including but not limited to a distributor or dealer, (ii) through any Third-Party Online Channel, or (iii) diverting inventory to any entity intending to do so.
Distributor shall not represent that any warranty exists other than Golight's published limited warranty and shall not modify, extend, limit, or replace Golight's warranty without written authorization. Distributor shall not remove, obscure, alter, replace, or destroy any serial number, date code, lot code, QR code, packaging identifier, warranty identifier, or other tracking information.
If Distributor becomes aware such entity is a reseller of the Products, including but not limited to, marketing or selling the Products through any Third-Party Online Channel, Distributor shall immediately notify Golight and shall immediately cease to supply such entity with the Products.
For avoidance of doubt, Golight will not dropship Products to any such entity, and reserves the right to refuse orders for Products if Golight knows or has reason to believe (i), (ii) or (iii) is probable for said entity. Golight will refuse any request to dropship products to Amazon FBA, Walmart Fulfillment Services, or other third-party fulfillment warehouses.
Golight may, upon reasonable notice, audit Distributor's records relating to Product purchases, sales, inventory, and downstream customers to verify compliance with this Policy.
If Distributor engages in any conduct identified herein, willfully, or otherwise, in circumvention of these policies, Distributor is subject to immediate loss of access to Products and/or revocation of authorizations from Golight.
